TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of this website and the web design, development and hosting services provided by Pensacola Web Studio (“we,” “us”). By using our website or services, you agree to these Terms. If you and we sign a written proposal or agreement that conflicts with these Terms, that document controls on the points where they conflict.

1. Our services

We design, build and host websites for our clients (“you”) on a subscription basis. Each project begins with a one-time setup fee, followed by a monthly subscription for hosting, email setup and management, and ongoing support, as described in your proposal.

Your email. Your business email runs on Google Workspace, under an account in your name that you own and pay Google for directly. You are its owner and administrator; with your permission, we are added as an administrator so we can set it up and manage it for you. Your use of Google Workspace is governed by Google’s own terms, and we are not responsible for Google’s service or charges.

2. How a project works

We learn about your business, then prepare design mockups for you to review. Once you approve a mockup and give us the go-ahead, we build your website to match it. We deliver within 90 days of your go-ahead, or within any other timeframe we agree to in writing. If we wait on you for content, feedback or approvals, the delivery deadline extends by the length of that wait.

3. Refunds

You pay nothing before you approve a mockup and give us the go-ahead to build. The setup fee is due at the go-ahead, and your monthly subscription begins when your website launches.

If we can’t deliver. If we are unable to deliver a working website that is substantially similar to your chosen mockup within the delivery deadline described above, you may request a full refund of everything you have paid us.

No other refunds are given. Refund requests must be made in writing, by email.

4. Subscriptions, billing and cancellation

• Subscription fees are billed monthly, in advance, starting when your website launches.
• You may cancel at any time, and there is no minimum commitment term. After you cancel, you keep receiving the services you have already paid for until the end of your current paid period.
• When the paid period ends, we take the website offline and remove our administrator access to your Google Workspace account. Your email is not affected: your account, mailboxes and messages stay with you. Your domain remains yours, and you can point it to any web host.
• Late payment. If a payment fails, we’ll let you know. If it remains unpaid for 15 days, we may suspend your website until it is paid. After 30 days unpaid, your subscription is treated as cancelled.

5. Rate changes

We may change our rates, but we will not raise the rate on an active subscription by more than 10% in any 12-month period. We will give you at least 30 days’ written notice before any increase takes effect.

6. Content changes

Your subscription includes up to five (5) free content changes per month. One change is one request for one page. For example, updating text on two pages in one request counts as two changes. Content changes cover text, images, prices, hours and similar content, not design elements such as layout, colors, fonts or new features. Unused changes don’t carry over to the next month. Additional changes, design changes and special requests can be arranged and are quoted separately.

7. Ownership and license

Pensacola Web Studio designs, builds and hosts websites. The web design we create for you (its layout, code and the custom graphics we produce for it) belongs to us, along with any derivatives of it. We do not sell or transfer rights to it.

While you hold an active, paid subscription, you have a non-exclusive license to use this web design freely. The license ends when your subscription ends.

Your materials stay yours. Logos, photos, text and other content you provide remain your property. You give us permission to use them to build, host and maintain your website. Your domain name also belongs to you, and so do the email addresses on it. If we registered your domain on your behalf, we will transfer it to you on request, including after you cancel.

8. Your responsibilities

You’re responsible for the content you provide. You confirm that you have the right to use it and that it does not infringe anyone else’s rights or break the law. We may refuse, or remove, content we reasonably believe is unlawful or harmful.

9. Portfolio

We may show your website in our portfolio and marketing. Tell us if you’d prefer we don’t.

10. Service availability and liability

We make commercially reasonable efforts to keep your website running, but we don’t guarantee uninterrupted or error-free service. To the fullest extent permitted by law:

• we are not liable for indirect, incidental or consequential losses, such as lost profits, revenue or data;
• our total liability for any claim is limited to the fees you paid us in the three (3) months before the claim arose.

11. Using this website

Content on this website is provided for general information. You may not misuse the site: for example, you may not attempt to disrupt it, gain unauthorized access, or submit spam through its forms. Your use of the site is also governed by our Privacy Policy.

12. Governing law and disputes

These Terms are governed by the laws of the State of Florida. If a dispute arises, both parties agree to first try to resolve it informally by contacting each other in writing and working in good faith for 30 days. If it isn’t resolved, it may be brought in the state or federal courts serving Escambia County, Florida, including small claims court where eligible.

13. Changes to these Terms

We may update these Terms from time to time. We’ll post the new version here with a new effective date. Changes do not affect a refund right that you already had.
